Consortium to Buy Amer Sports for 5.2 Billion

Rumors and talk have been floating around for some time now but it seems that it's nearly official. China's Anta Sports Products is leading a consortium to purchase Finland's Amer Sports for a reported 5.2 billion dollars this week. Amer Sports owns both ENVE and Mavic, as well as other active brands such as Arc'teryx, Salomon, Atomic, and Suunto.

Anta Sports Products is much larger than Amer Sports and, according to Bloomberg, Anta has been working to grow its business overseas with a Chinese government push to expand in sports ranging from soccer to skiing. This expansion and push likely include bikes as well. Chip Wilson, founder of lululemon is also set to be a minority investor, potentially buying in at up to 20%. Amer Sports CEO Heikki Takala had in September talked about the potential sell-off of both Mavic and ENVE, citing that there may be a better owner than Amer for those two brands. He was quoted saying, "we are not able to give them (Mavic/ENVE) enough scale and synergy potential."

So what does all of this mean for ENVE and Mavic? Likely nothing for now. Deals like these take quite some time to negotiate and although it sounds as if the deal is very close to, if not already finalized, we suspect it's unlikely that there will be any changes anytime soon. However, with the Chinese government pushing to expand sports it will be interesting to see if those two brands stay on as part of the deal or if they are still being considered for sale.

 @racerfacer: Not that I entirely disagree, but my Arc'teryx jacket and Suunto have been some of the best purchases I've made. The Arc'teryx makes my GF's Patagonia jackets look cheap.

 @racerfacer: the e-xm 430 rims are a Good deal though, a 30mm internal width assymetrical hookless rim with reinforced anti dent sidewalls for 35 euros. Not super heavy either.

 Checkout We Are One, they are manufactured and hand-laid carbon wheels right out of Kamloops, BC Canada. Save some money, buy a better product and support a small team, rather than having your money leak into the pockets of someone who doesn't even ride a bike!

 @canadianenduro: I have their Agent wheelset and it has been great, I can’t recommend We Are One enough. Hand made in Canada, with no filler or sanding to hide anything, just a really great product right out of the mold, made by great people.

 @canadianenduro: I have NO ASSOCIATION with you other than the fact that I own one of your Insider DT Swiss 240 wheels. My local shop had a set of DT Swiss XMC's. The cost on these is more than you full retail on your insiders. On the scale - the insiders with a CX Ray build are about 20 grams lighter and do not have to use centerlock rotors.

More people need to try your wheels!

 @ZSchnei: I e had pretty bad luck/bad quality with Arc’teryx unfortunately. I’m literally in the process of sending my Arc Gamma MX hoody back to get fixed because of their cheap manufacturing process. The hem drawcard becomes exposed because they glue the cord housing instead of sewing it. They look second to none in terms of aesthetics but their quality on some items is questionable

 @canadianenduro: Do you work for wao? The only negative I had about them was a while back one of their guys frequently popped in on every wheel related topic saying check out wao - similar to what you did.

Their product is good enough that it shouldn't need those slimey tactics. As Canadians we shouldn't go there.

They've been supporting the Canadian Enduro Series for a few years now. It's a bummer that you find it 'slimey' when a company actually supports grassroots initiatives in their own backyard - WAO helps me keep the series running by providing prizing to the racers - so when I see a multinational that contributes zero to my riding community, for sure I'm gonna fly the flag for those that do.

Look at our series for example, we're pretty much held up by Canadian companies, the last two years we were with MEC, this year with Norco, we have brands like Whistler Performance Lubricants, Kazoom Custom Jerseys, Raceface, WAO - if this article was about lube, jerseys or handlebars, you can bet your poutine I'd be throwing love to Canadian companies that help the industry. It's not slimey, it's recognition for a job well done. Next time one of your buddies complains about his Ford and you chyme in how you're a Chevy guy,

My comment was flat out asking you if you work for we are one. Simple. Yes or no.

If no, then it is awesome that you are giving we are one (deserved) props.

If you do work for them, it is a similar annoying tactic that one of their guys used to do on the pinkbike forums. A wheel review about any brand, and he was in there leading off with " check out we are one, they are hand laid..." Almost word for word what you typed. That was the reason I asked that one question - and once again not attacking their support of grassroots programs.

When I called him out about it in one of the threads, Dustin personally took the time to contact me and apologize for the lack of professionalism.

 @racerfacer: also i want to agree it is not true. Rims from Mavic are cheap, good amd light last time I had some were the en721 which i love but last year I got a set of en427 for 25€/hoop and i really can't fault them. Arctery is expensive but have a stupid lifespan and having spend 25years dedicated to mountain sports beside bike I can garantee you that on the long run it is worth it. And while I am not massively fan of Salomon you have to give it to them that they really push the enveloppe in mountain sports with very strong and creative R&D, last exemple is the Shift, a ski binding that is set to revolution the low tech binding market. And believe me when I say I am not a fan of the brand but for such R&D the binding is not even that expensive so you what do you want me to do ?

 @onemind123: i dont work for wao but just had my first ride on their agent wheels. Fantastic wheelset. Each rim is hand signed by the guy who made it. Thats pretty cool in my books. Plus theyre cheaper than most other made in asia rims. Cant recommend them highly enough.

 In the real world its called "layers of ownership" and its designed for two reasons. To conceal the fact that only a handful of families owns EVERYTHING. And to avoid anti monopoly laws. Example: XYZ Corporation is owned by shareholders bla-bla-bla.  @fattyheadshok: We do have the "sold in Wisconsin only", New Glarus Brewery. It's a family/employee owned, brewery. They make just about every type of beer. All really good. They aren't really considered small, 165,000 barrels a year and we drink it all!! It's everywhere. I haven't bought or drank a Miller/SAB beer brand in 10+ years.

Inbev is biggest beer consortium on the planet - check their list of holdings & you'll find half the beer aisle at your local grocery store is basically an Inbev showroom. Beauty of US beer scene at present, tho, is craft beer movement providing superior brews as counterweight for other half of the aisle so American palates have become educated enough realize just how piss-poor the swill churned out by Miller, Bud, & Co. really is.

 To elaborate from @steelpolish for those of you not playing corporate games every day, "synergies" during merger/buyout is leadership jargon to say that there are overlapping functions (R&D, sales, product support, etc.) between the two companies that, when merged, can be optimized. Yep, layoffs.

 @eurojuice: yes. Everyone must make enough money to live and make the activity worthwhile, but non-profits give the lie to the idea that it's only about profits. There is also a difference between a corporation making bikes as a way to make profits (and increase then every quarter) in order to please their customers - the stock holders not the people buying the bikes, and a small group of people making excellent bikes and selling them to their customers (bike riders) in order to make a decent living.

 @makripper: Yeah, and the corporate mucks knowingly made deals with them to share all intellectual property. They figured it was a profitable exchange for basically what amounted to skilled slave labor. Now they're crying foul because the labor is no longer so cheap, and "gasp" they've figured out how to make decent products based upon experience and the sharing of technology. Duh. So many bad decisions by US corporate board members in the name of short term greed. At the same time China was busy buying US treasury bonds because we're the world's reserve currency which means that it's the safest bet. (BTW you cannot be the world's reserve currency holder and not experience a trade deficit. It simply doesn't happen. Thats like macro economics 101.) So the orange tan salon mango Mussolini decides it's a really good idea to start a trade war with a country the holds a lot of your debt. Apparently there's never an adult in the room when he decides these things. Oh yeah he fired them all. What a world we live in.

 @pigman65: Its not really possible given the maturities of debt securities. China owns about 5.3% of current US debt. Japan owns nearly the same amount at ~5%, but it gets no press because of their positive relationship and Japan's lack of growth is seen as safe. As China's classes continue to elevate, their appetites and demands will only grow. The Tech Industry is still an infant compared to manufacturing, and I predict it'll be much easier for China's tech industry to 'level-up', which is what worries countries like the US. Right or wrong, I don't think the current trade relationship is sustainable, and the next few decades is going to be interesting!

 This has more to do with the clothing brands under the Amer Sports umbrella, than it does with the hard goods. The clothing brands have been impressively profitable - not just Arcteryx but Salomon as well. The brands will be better positioned to compete in Asia with this purchase, and with a couple of Olympics coming up around Asia their appetite for global brands will grow. Longer-term who knows. My point is, Anta probably isn't that interested in bike parts.

 Exactly. Cycling in China at the moment is still a very small sport. People are more likely to go running or skiing (considering the 2022 Beijing Winter Olympics), which are also the sports that the government want to push to the people. ANTA was established as a shoes brand, so I guess they are eager to expand their map in clothing, outdoor sports and snow sports.

 I doubt the sale itself will have anything to do with product pricing or margins, especially in the short term (e.g. 2019). Longer-term its what Anta/Amer decides to do with their cycling businesses that will determine their products and margins, and I'd argue that will depend more on how the smart folks who run these businesses decide how to sell fancy aftermarket wheel sets and components, than currencies or ownership.

 Investors buy companies like Enve because A) they are betting that mountain biking is going to get more popular and the market will grow as more people around the world take up the sport, and B) Enve has high perceived value and can demand high prices for their product; the new owners then drive down the cost of production while maintaining those high sale prices and rake in the profits rather than passing off any savings to the customer.

 @Patsplit: Investors (amer) wanted to sell off enve and mavic due to unprofitability for the last 6 months.. I even worry anta will decline to take own these loosing brands...With sells declining 10% every year since purchase by amer. I highly doubt based on the horrible logo of this Chinese company that they have the slightest clue about marketing and brand value.

 @Gregorysmithj1: I read someplace that Anta is the third-largest branded sportswear company in the world. Their logo might not float your (or any other Americans) boat but they have to know what they are doing. How they treat the new family of brands remains to be seen but they have some kind of deal or ownership with Descente, and that's doing really well.

The cycling businesses, according to Amer, are 'under strategic review'. Anta is buying Amer but leaving the management structure in place, so if Enve and Mavic are sold-off it will be Amer's doing.

 I suppose this is a place for comments about biking, but disappointedly i see more and more nasty comments about politics and nations. I am a Chinese but to be honest, I hate to see any comment about China here on PB because I can guess what the comments would be... 'China = bad, cheap, slavery, thieves....' it seems this has been a mindset of a lot of you guys NO MATTER WHAT China does, but is that really ture? I DON'T think so. As an adult (I suppose you are), you should be able to make your own judgement instead of repeating what CNNs told you, you are not parrots. And what I have seen from some of your comments is nothing but nationalism, racialism, and arrogance, is this the ture spirit of liberty? I suppose not. And for those with this kind of brainlessly anti - China mindset, I am afraid you have nothing different with the North Koreans who are the same aggressive, delusional and the same brainlessly anti-America... what a shame. For those 'China takes everything' guys, what i can tell you is that rare companies with solid cash flow want to take an equity deal. Back to the case, despite no financial figures released in this article for Armer, i wouldn't assume it/its parent company has a positive financial situation. If that is the case, i would say Anta is taking but as well as saving the brands. As an outdoor fan, I would be pleased to see this happen even if the buyer were someone else rather than Anta because what Armer really needs is stronger commercial capabilities and cash which the buyer can provide. And all of these buyer's inputs will only make a future growth of these brands. By the way, I am a m&a professional.

 True, most of the hate could be xenophobia, but it is also derived from a disgust with greedy cyclic capitalism taking over the sport we love. Exploiting the sport for profit, first in the 90's and now seems to be doing it again, only building it up to tear it down.

China currently has one the cheapest and most abundant labor resources in the world. Combined with free trade agreements and weaker environmental regulations, there's no question why almost all manufacturing has moved to China. With almost all manufacturing moving to China, that means there is more wealth in China as well. When wealth grows, it tends to get invested to grow it further. There are many ways to invest like investing where the largest opportunity for growth lies, but one way is to buy the supply chain for a product to further maximize profit (via synergies). This kind of consolidation which moves toward a monopolistic market is not good for the consumer and our sport, it only supports corporate owners/investors whether they be Chinese or American, etc.

 @tacklingdummy: it has nothing to do with where headquarters are based. It has to do with where the last step in the manufacturing process, whether that is harvesting raw materials or final assembly, is performed. That is what determines country of origin for tariffs.
